Blackout Period

定义

A company-imposed window of time during which designated employees and insiders are prohibited from buying or selling company stock, typically surrounding earnings announcements or other material corporate events.

Public companies routinely establish trading policies that include blackout periods — intervals when employees with access to sensitive financial information must stand aside from the market. These periods most commonly surround quarterly and annual earnings releases, during which insiders are presumed to possess material non-public information about upcoming results. Blackout periods are a company-level policy tool layered on top of the broader legal prohibition against insider trading.

For executives and directors at a single company, blackout periods can consume a substantial portion of every calendar year, leaving only narrow "open windows" — typically a few weeks after each earnings release — during which trading is permitted. This constraint amplifies the illiquidity problem inherent in restricted and control stock, because even freely vested shares cannot be sold at will. Families in this situation often evaluate 10b5-1 plans, which are specifically designed to allow pre-scheduled sales to execute automatically even during blackout periods.

A common confusion is assuming that an open window means trading is unconditionally permitted. Open windows eliminate the blackout restriction, but they do not override other requirements — an insider who happens to know about an unannounced merger, for example, remains prohibited from trading regardless of the calendar. Additionally, special event-driven blackouts can be imposed outside the normal earnings cycle with little advance notice. A qualified securities attorney and the company's own general counsel are the appropriate guides for any insider navigating these rules.
