A private fund structure in which committed capital is called by the manager in stages as investments are made, rather than collected upfront in a lump sum.

A drawdown fund—also called a capital-call fund—is the classic structure used by private equity, venture capital, and private credit partnerships. When a family commits, say, an illustrative $5 million to such a fund, they do not write that check immediately. Instead, the manager sends capital-call notices over an investment period (often three to five years), requesting portions of the commitment as specific deals are identified.

This structure exists because managers want capital deployed productively, not sitting idle. From the investor's perspective, it means the committed amount and the invested amount differ for years—a distinction that complicates asset allocation planning. Families must keep uncommitted capital accessible so they can honor calls on short notice, typically within ten business days. Failing to fund a capital call can carry severe contractual penalties.

A common confusion is treating the commitment as the equivalent of a current portfolio position. It is more accurately an obligation—a liability on the family's balance sheet until called. Another misunderstanding involves the J-curve: early in a drawdown fund's life, fees and initial write-downs often cause reported returns to dip before (potentially) recovering as investments mature.
