Capital that has been committed to a fund but not yet deployed into actual investments, held in reserve awaiting suitable opportunities.

Dry powder refers to the pool of committed capital sitting inside a fund that the manager has not yet put to work. From the investor's perspective, it represents money that has been called — transferred to the fund — but is waiting for the manager to find and complete investments. From the manager's perspective, it represents firepower available to act on opportunities.

For wealthy families evaluating a fund's progress, the level of dry powder is a meaningful signal. A fund with substantial dry powder early in its life is simply in its normal investment period. A fund still holding large amounts of dry powder late in its intended investment window might raise questions about deal flow, selectivity, or market conditions.

Dry powder also matters at the broader market level. When private equity and venture capital funds industry-wide have accumulated large amounts of uncommitted or undeployed capital, competition for attractive investments can intensify — potentially affecting the prices paid and, ultimately, future returns. Families should ask managers directly how much dry powder a fund holds and what the expected deployment timeline looks like.

A common confusion is using "dry powder" and "uncommitted capital" interchangeably. Dry powder specifically refers to committed and called capital not yet invested, while uncommitted capital refers to amounts not yet promised to any fund at all. The distinction affects how families should model their liquidity picture.
