Evergreen Fund

Definitie

An open-ended private investment vehicle with no fixed termination date, allowing investors to subscribe and redeem periodically rather than committing capital for a defined multi-year term.

Traditional private equity and private credit funds have a fixed life — typically ten years — after which assets are sold and capital is returned. Evergreen funds dispense with that structure entirely. Capital stays invested indefinitely; the manager continuously reinvests proceeds from exits. Investors can often subscribe quarterly and, subject to restrictions, request redemptions on a periodic basis. The fund rolls forward without a scheduled wind-down.

For wealthy families, the appeal is straightforward: evergreen structures reduce the friction of the traditional capital call model and provide a degree of liquidity not available in conventional closed-end funds. A hypothetical family that finds it difficult to pace commitments across multiple vintage years might view an evergreen vehicle as a simpler way to maintain consistent exposure to private markets without managing a complex pipeline of capital calls and distributions.

The limitations deserve equal attention. Redemption rights are typically gated — meaning the fund can restrict or delay withdrawals during stressed conditions — so "liquidity" is conditional rather than guaranteed. Ongoing NAV-based pricing introduces the same estimation uncertainty present in any private vehicle. And because the portfolio does not reset at the end of a term, underperforming assets can persist longer than they might in a fund with a hard deadline. Fees vary widely across evergreen products, and a qualified financial professional should assess the specific terms of any structure a family considers.
