Family Constitution

Définition

A family constitution is a written document that articulates a family's shared values, governance structures, decision-making rules, and expectations for how wealth will be managed and transferred across generations.

Unlike legal documents such as trusts or wills, a family constitution is typically not a binding legal instrument; it is a covenant, a statement of intent that the family collectively adopts. It might address how family members join or exit governance roles, what the family's philanthropic priorities are, how disputes will be resolved, what responsibilities come with receiving a distribution, and what the family's long-term vision for its wealth actually is. The process of writing it is often as valuable as the document itself, because it forces conversations that might otherwise never happen.

Families sometimes begin developing a constitution when the second or third generation is coming of age and the founding generation recognizes that informal norms will not survive the transition. A hypothetical founder who sold a manufacturing business might work with an advisor to facilitate a series of family meetings, ultimately producing a constitution that defines an family council structure and a set of values guiding the investment committee.

A common confusion is treating the family constitution as a substitute for proper legal planning. The two must work together: the constitution expresses intent, while trusts, partnership agreements, and other legal structures give that intent enforceable form. A qualified attorney should always be involved in ensuring the two are aligned.
