Fee Offset

Definitie

A contractual provision in private fund agreements that credits fees a fund manager earns from portfolio companies against the management fee charged to limited partners.

When a private equity or venture fund manager sits on a portfolio company's board, provides consulting services, or charges transaction fees at the deal level, those payments flow to the manager. A fee-offset provision requires some or all of those fees to reduce — offset — the management fee that limited partners (the outside investors) would otherwise pay. The offset percentage is negotiated and spelled out in the fund's limited partnership agreement.

Fee offsets matter to families investing in private markets because they affect the true net cost of the fund. A fund advertising a standard management fee but providing a high offset can be meaningfully cheaper in practice than one with an identical headline fee but no offset. Comparing funds on gross fees alone, without examining offset provisions, can therefore be misleading.

Illustratively, a manager charging a hypothetical annual management fee and also collecting advisory fees from portfolio companies might offset those advisory receipts at an agreed rate — say, partially or fully — against the LP's fee obligation. The due diligence questionnaire and the fund's legal documents are the primary places where offset terms are disclosed. A common mistake is overlooking offset provisions during due diligence, which makes meaningful fee comparisons across funds difficult.
