Minimum Distribution (Foundations)

The legal obligation requiring private foundations to distribute a minimum percentage of their assets annually for charitable purposes, as defined by federal tax law.

Private foundations in the United States are not permitted to accumulate assets indefinitely. Federal law requires that each year a foundation distribute a minimum share of the fair market value of its investment assets for charitable purposes — a rule commonly called the payout requirement or minimum distribution requirement. The precise percentage is set by statute and may be adjusted by regulation, so families should verify the current figure with qualified legal counsel.

The rule exists to ensure that tax-exempt assets actually reach charitable work rather than sitting in perpetuity. Qualifying distributions include grants to public charities, reasonable administrative expenses directly tied to charitable activity, and — under certain conditions — program-related investments. Ordinary investment management fees generally do not count.

Consider a hypothetical family foundation holding an illustrative portfolio of $50 million. The foundation's trustees must plan annual grantmaking and charitable expenses to meet the required distribution threshold, or face an excise tax on the shortfall. This makes liquidity planning a genuine operational concern, not merely an investment one.

A common confusion is treating the payout requirement as a ceiling rather than a floor. Foundations may distribute more than the minimum, and many do. Separately, administrative expenses count only within limits, so over-relying on overhead to satisfy the requirement is a mistake a qualified attorney or CPA should help a family avoid.
