Securities-Based Line of Credit (SBLOC)

定义

A securities-based line of credit (SBLOC) is a revolving loan extended by a lender using a borrower's investment portfolio as collateral, outside the federal margin lending framework.

An SBLOC allows a portfolio owner to borrow against the value of eligible securities — typically a diversified mix of stocks, bonds, and funds — without selling those holdings. Because the loan sits outside formal margin regulation (Regulation T, in the United States), lenders have more flexibility in structuring terms, eligible collateral, and advance rates. The practical result is that families can access liquidity without triggering the capital gains taxes that a sale would generate. The topic connects closely to the broader discussion at Securities-Based Lending.

A hypothetical family might use an SBLOC to fund a real estate purchase, bridge a business transaction, or meet a large charitable pledge — situations where speed matters and liquidating a carefully constructed portfolio would be disruptive. The line typically operates like a revolving credit facility: draw what is needed, repay at any pace, and interest accrues only on the outstanding balance.

The critical risk is collateral call. If the portfolio value falls sharply, the lender may demand additional collateral or repayment of part of the loan on short notice — potentially forcing a sale at a market low, precisely the wrong moment. Because interest costs are ongoing and market declines can arrive quickly, the size of the line drawn relative to portfolio value is the central risk variable families must understand. A qualified attorney and tax advisor should evaluate any particular borrowing structure.

A common confusion: an SBLOC is not the same as a margin loan, though both use securities as collateral. The regulatory framework, documentation, and lender flexibility differ meaningfully between the two.
