Trust Protector

Définition

A person or entity appointed in a trust document with defined powers to oversee, modify, or intervene in the trust's administration independently of the trustee.

A trust protector is a relatively modern role in trust drafting, borrowed in part from offshore trust practice and now common in sophisticated domestic planning. The trust document specifies exactly what powers the protector holds — these might include the ability to remove and replace the trustee, change the trust's governing state law (called decanting in some contexts), add or remove beneficiaries, or veto certain trustee decisions. The role is intentionally narrower than a trustee's broad fiduciary duties; a protector exercises only the powers explicitly granted.

For wealthy families establishing long-duration or dynasty-style trusts, a trust protector addresses a fundamental challenge: circumstances change over decades, but irrevocable trusts by definition cannot easily be rewritten. A hypothetical family that established a trust in one decade may find that tax law changes, a beneficiary's divorce, or a trustee's declining performance makes modification desirable. A trust protector with appropriate powers can make those adjustments without requiring court intervention.

A common confusion is treating the trust protector as a co-trustee or assuming they owe the same fiduciary duties a trustee does. The legal standard governing a protector varies significantly by state — some states treat protectors as fiduciaries, others do not. Families and their advisors should ask an attorney to spell out precisely what duties, liabilities, and oversight obligations attach to the protector role under the governing state's law before appointing anyone to it.
